B2B PLATFORM TERMS AND CONDITIONS WITH GDPR INFORMATION CLAUSE
§1 General Provisions

These Terms and Conditions (hereinafter: the “Terms”) set out the rules for using the B2B online platform available at www.b2b.discushobby.com (hereinafter: the “Platform”), the conditions for placing orders, concluding and performing sales contracts, making payments, and the rules for the protection of personal data.

The owner and administrator of the Platform, as well as the seller within the meaning of these Terms, is:

The Platform is intended exclusively for the conduct of sales in business-to-business (B2B) relations, i.e., to entities conducting business activity within the meaning of Article 43¹ of the Polish Civil Code, both domestic and foreign.

These Terms constitute an integral part of the sales contracts concluded via the Platform and are binding upon the parties from the moment of their acceptance by the User during the registration process or when placing an order.

Use of the Platform constitutes full and unconditional acceptance of all provisions of these Terms.
§2 Functional Scope of the Platform

The Platform enables:

browsing the current product offer of the Seller,
-
placing orders,
-
making payments using the methods provided by the Seller,
-
obtaining VAT invoices in electronic form,
-
monitoring the status of order fulfillment in real time.

The Seller reserves the right to temporarily suspend the operation of the Platform for maintenance or system updates, making every effort to ensure that any such planned downtime does not materially interfere with the ability to place orders.
§3 Registration and Access to the Platform

Use of the Platform requires the registration of a User account, which may only be performed by a business entity possessing an active tax identification number (VAT ID or foreign equivalent).

Registration requires providing: the full company name, registered office address, VAT ID/tax number, contact details, and setting an individual login and password.

The Seller will verify the data provided and reserves the right to refuse activation of an account if the data is found to be false or inconsistent with the User’s business profile.

The User is obliged to keep their login credentials confidential, and any activity performed after logging into the account shall be deemed to have been carried out by the User or their authorized representatives.
§4 Placing Orders

Orders may be placed only after logging into an active User account.

The minimum order value is:
a) for orders delivered within the territory of the Republic of Poland – PLN 400 net,
b) for international orders – PLN 400 net or the equivalent in a foreign currency according to the average exchange rate of the National Bank of Poland on the date of the order. -
Placing an order constitutes an offer to conclude a sales contract within the meaning of Article 66 of the Polish Civil Code.

Confirmation of acceptance of the order by the Seller constitutes the conclusion of the sales contract.
§5 Payment Terms

Payment for the ordered products shall be made in accordance with the payment methods available on the Platform.

The basis for payment is a VAT invoice issued by the Seller.

The payment deadline is specified on the invoice; failure to meet this deadline entitles the Seller to suspend the processing of subsequent orders and to charge statutory interest for late payment in commercial transactions.
§6 Delivery and Transfer of Risk

Deliveries are made worldwide, with transport costs and the expected delivery date determined individually and indicated in the order summary prior to its confirmation.

Upon delivery of the goods to the carrier, the risk of accidental loss or damage to the goods passes to the Buyer.
§7 Complaints

Sales conducted via the Platform are exclusively B2B transactions, which means that the Buyer is not entitled to the rights provided under the Polish Consumer Rights Act of 30 May 2014.

The Buyer is obliged to inspect the goods immediately upon receipt and to report any defects within 7 days from the date of delivery.

A complaint should include:

the invoice number,
-
a detailed description of the defect,
-
photographic documentation.

The Seller shall review the complaint within 14 business days and inform the Buyer of the resolution.
§8 Liability

The Seller shall not be liable for any damages resulting from interruptions in the operation of the Platform due to force majeure, equipment or software failures, or delays caused by the carrier.

Under no circumstances shall the Seller be liable for lost profits of the Buyer.
§9 Personal Data Protection – GDPR Information Clause

Personal data is processed for the following purposes:
-
registration and management of the User account,
-
order processing and transaction handling,
-
contacting the User regarding orders,
-
fulfilling legal obligations imposed on the Controller (including accounting and tax),
-
establishing, pursuing, or defending legal claims.

The legal basis for data processing is:
-
Article 6(1)(b) GDPR – necessity for the performance of a contract,
-
Article 6(1)(c) GDPR – legal obligation,
-
Article 6(1)(f) GDPR – legitimate interest of the Controller.

Data may be shared with entities providing courier, payment, accounting, legal, and IT services to the Controller.
-
Data will be retained for the period necessary to achieve the purposes for which it was collected, and thereafter for the period required by law.

The data subject has the right to access, rectify, erase, restrict processing, transfer data, object, and lodge a complaint with the supervisory authority (President of the Personal Data Protection Office in Poland).

Providing personal data is voluntary; however, failure to provide such data will prevent the use of the Platform and the fulfillment of orders.
§10 Final Provisions

In matters not regulated by these Terms, the provisions of Polish law shall apply, in particular the Polish Civil Code and the Act of 18 July 2002 on the Provision of Electronic Services.

Any disputes arising in connection with the use of the Platform shall be resolved by the court with jurisdiction over the Seller’s registered office.

These Terms enter into force on the date of their publication on the Platform’s website.
